It is executed
by the undersigned for the purpose to form a New Jersey
Corporation under Title 16 1:1 of the New Jersey Statutes,
WITHOUT STOCK AND NOT FOR PROFIT; A NJ Not-For-Profit
Organization. The period of existence shall be perpetual.
The purpose shall be to support, publicize, research
and teach the religious believes of our Lord, Jesus Christ
as an Ambassador of God on Earth.
In addition to and in
support of, the above, the corporation shall have further
general purposes and powers to publicize, publish, teach
and explore the religious traditions practices and values
of Jesus Christ. FALIM International
Ministries will
exercise any, all and every, power which an establishment
of religion is entitled to fund, institute and/or organize
national and/or international religious training centers,
including churches, missions, alcohol/drug rehabilitation
centers, counseling centers for children, teens, abused
women, shelters for pregnant adolescents, the homeless,
the elderly, and orphanages.
The organization will also
fund, institute and/or establish a musical division with
the appropriate infrastructure to further the vision
of FALIM International Ministries; this shall include
but not limited to creating, publishing, producing, distributing,
selling, musical groups’ music
(choirs / bands / singers with bands). The music division
shall include funding, instituting, producing and/or
promoting national and international soloist(s), programming
for radio, television, video and music or speech under
the FALIM seal. In addition, FALIM
International Ministries will also fund, and/or manage copyrights of music, lyrics
and instrumental compositions under the FALIM seal.
The
organization will also fund, institute and/or establish
national and international centers of food distribution
for those in financial, and or physical need. It will
also fund, institute and/or establish national and international
daycare centers for infants and children, and Christian
schooling at all levels. FALIM International
Ministries will organize, direct and facilitate chaplains for hospitals
and healthcare national and international institutions.
It
will also acquire or lease any type and amount of vehicles
for transportation in any related FALIM or related agencies
in the national and international scope. FALIM International
Ministries will authorize and issue certificates, charters,
credentials, degrees, diplomas, religious licenses, memberships
and ordinations. It will act as a responsible party or
custodian for licenses, permits, bond taxes matter, and
contracts; or to do otherwise as the board may direct.
FALIM
International Ministries is to receive property by device
or bequest, subject to the laws regulating the transfer
of property by will; otherwise acquire and hold all property,
real or personal, including shares of stocks, bonds and
securities of other corporations. It will act as a trustee
under any trust incidental to the principal objects of
the corporation; and receive, hold, administer and expend
funds and property subject to such trust.
It will have
the authority to borrow money; contract debts; issue
bonds, notes and debentures; and to secure, pay interest
on, and redeem. FALIM International
Ministries will enroll,
expel, fire, hire recruit or train persons; establish
various and diverse classes of membership, employees,
volunteers, or otherwise as the Board may direct. The
organization is committed to keep accounts, files, inventories
and records, as the Board may direct.
It will conduct all other acts necessary or expedient
for the administration of the affairs and attainments
of the purposes of the corporation, within the scope
of activities authorized in Title 16:1 of the New Jersey
Statutes.
Notwithstanding any of the above statements
of purposes and powers, this corporation shall not, except
to an insubstantial degree, engage in any activities
or exercise any powers that are not in furtherance of
the primary purpose of this corporation. No substantial
part of the activities of this corporation shall consist
of carrying on political propaganda, or otherwise attempt
to influence specific legislation, and the corporation
shall not participate or intervene in any political campaign
on behalf of any candidate for public office.
FALIM’s principal office is located at 7827 Bergenline Avenue
- Suite 2A, North Bergen, (Hudson County), New Jersey
07047. The name of the initial registered agent is Teresa
G. Delgado. These articles may be amended in the manner
authorized by law at the time of the amendment. The number
of directors shall be fixed by the bylaws but shall not
be less than three. Membership provisions shall be set
forth in the bylaws.

Other provisions:
The property of this FALIM Not-for-Profit Corporation
is irrevocably dedicated to religious purposes, or scientific
purposes as they apply to religious purposes; and upon
liquidation, dissolution or abandonment by the Board
of Directors, and after providing for the debts and obligations
thereof, the remaining assets shall not inure to the
benefit of any private person, but will be distributed
to a nonprofit fund, foundation or corporation which
is organized and operated exclusively for religious,
charitable or scientific purposes and which has established
its tax-exempt status under section 501 (c) (3) of the
Internal Revenue Code of the United States of America.
The bylaws of the corporation may be adopted by the Board
of Directors, and may thereafter be amended or repealed
as therein provided. The Board of Directors will issue
no stock, voting or non-voting. The order in which various
items appear listed herein establishes non-system of
priorities. This corporation is being formed as a new
organization and a new establishment of religion and
no existing unincorporated religion is being incorporated. |
